1. About Stylaa
Stylaa is a curated fashion marketplace operated by Oyato Global Solutions Nig Ltd, registered in Nigeria and Dundun Ltd, registered in England and Wales. Our platform connects independent fashion brands and designers with shoppers worldwide. The Seller Partnership Programme ("Programme") governs the relationship between Stylaa and approved seller partners ("Partners").

Be a legally registered business or a sole trader operating lawfully in your country of residence
Offer genuine, original, or curated fashion products or accessories
Have an active and verifiable social media presence on at least one platform
Agree to and comply with all applicable laws, including consumer protection and data privacy regulations
Stylaa reserves the right to decline any application at its sole discretion without obligation to provide a reason.
3. Partner Obligations
As a Partner, you agree to:
Provide accurate, complete, and up-to-date information at all times
Fulfil orders promptly and to the standard described in your listings
Respond to customer enquiries within a reasonable timeframe
Maintain the quality and authenticity of your products and brand presentation

4. Intellectual Property
You retain ownership of your brand name, logos, product images, and all associated intellectual property. By submitting content to Stylaa — including images, descriptions, and brand assets — you grant Stylaa a non-exclusive, royalty-free licence to use, display, and promote that content on the Stylaa platform and its marketing channels for the duration of your partnership.
You must not submit content that infringes the intellectual property rights of any third party. Stylaa reserves the right to remove infringing content and terminate partnerships where infringement is confirmed.
5. Commission & the Earn Programme
Commission rates and payment terms will be set out in your individual Partner Agreement issued upon approval. Participation in the Earn Programme — including 0% commission windows, token rewards, and featured listing benefits — is subject to the specific terms communicated at the time of enrolment and may be updated from time to time with reasonable notice.
Stylaa processes payments in accordance with the schedule outlined in your Partner Agreement. Any disputes regarding payments must be raised in writing within 30 days of the relevant transaction.
6. Prohibited Conduct
Partners must not:
List counterfeit, misleading, or prohibited goods of any kind
Engage in price manipulation, fake reviews, or any form of deceptive practice
Solicit customers to transact outside the Stylaa platform to circumvent fees
Share another Partner's confidential information or misuse data obtained through the platform
Use the Stylaa platform for any unlawful purpose
Breach of these provisions may result in immediate suspension or termination of your partnership without compensation.
7. Suspension & Termination
Either party may terminate the partnership with 30 days' written notice. Stylaa may suspend or terminate a partnership immediately and without notice where a Partner is in material breach of these terms, has acted fraudulently, or where continued association poses a reputational or legal risk to Stylaa.
Upon termination, all active listings will be removed and any outstanding payments due will be settled in accordance with your Partner Agreement, less any amounts owed to Stylaa.
8. Limitation of Liability
To the fullest extent permitted by law, Stylaa shall not be liable for any indirect, incidental, or consequential loss arising from your participation in the Programme, including loss of revenue, loss of data, or loss of business opportunity. Stylaa's total aggregate liability to any Partner shall not exceed the total fees paid by that Partner to Stylaa in the three months preceding the claim.
9. Privacy & Data
By applying to and participating in the Programme, you consent to Stylaa collecting and processing your personal and business data in accordance with our Privacy Policy. We will never sell your data to third parties. Data is used solely to operate the platform, manage partnerships, and improve our services.

Stylaa may update these Terms of Use from time to time. Where changes are material, we will notify Partners with at least 14 days' notice by email or via the platform. Continued participation in the Programme following that notice period constitutes acceptance of the revised terms.
11. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria (in respect of Oyato Global Solutions Nig Ltd) and the laws of England and Wales (in respect of Dundun Ltd). Any disputes arising under or in connection with these terms shall be subject to the jurisdiction of the courts applicable to the entity with whom the Partner has a direct commercial relationship.
